Milano, Aug. 21 (LaPresse) – “Mps launches two voluntary, concurrent and parallel all-share public exchange offers for all the ordinary shares of Banco Bpm and Banca Generali, for a consideration of approximately 25.31 billion euros and 8.72 billion euros, respectively.” Monte dei Paschi di Siena announced this. “The Offers” for Banco Bpm and Banca Generali “are aimed at creating a new leading national champion, equipped with distinctive expertise in banking, advisory and wealth management, through the combination of iconic brands, strong local roots and established relationships with families, businesses and local communities.” This is reported in an Mps statement. “The industrial project – the statement further reads – translates into the combination of complementary franchises within an integrated financial group, with a successful business model positioned to support families, entrepreneurs, SMEs and large companies throughout the entire cycle of their financial lives. The strategic rationale is particularly compelling: a strengthened and profoundly transformed MPS represents the natural partner both for Banco BPM, which brings scale, product expertise and commercial strength in the areas with the greatest wealth in the country, and for Banca Generali, which contributes a leading wealth management platform, high-quality recurring fee income and distribution capabilities based on the advisor-led model. Mediobanca’s distinctive expertise in corporate and investment banking, capital markets and wealth management will also benefit from the greater scale of the new group, while at the same time expanding the range of products and services available to clients.” “The enlarged, more diversified and resilient group would become Italy’s third-largest banking group by total assets, with pro forma assets of approximately 466 billion euros, customer loans of 245 billion euros, direct funding of 315 billion euros and total financial assets of 810 billion euros, based on data as of Dec. 31, 2025,” the statement continues.
